Terms of Use

These terms are the agreement between you and TallyPip for using our bookkeeping and invoicing software. We've tried to write them so a busy business owner can actually read them.
Each section starts with a short summary in plain words. The summaries help you find your way, but the full text of each section is what counts.
1. This agreement
In plain words
TallyPip is run by Rise Technologies LLC. By creating an account or using TallyPip, you agree to these terms and our Privacy Policy.
TallyPip is a service of Rise Technologies LLC, doing business as TallyPip ("TallyPip", "we", "us" or "our"). These Terms of Use (the "Terms") cover your use of the TallyPip website at tallypip.com, the TallyPip app, and anything else we provide under the TallyPip name (together, the "Service").
"You" means the person using the Service and, where you use it for a business, that business too. If you accept these Terms for a business, you confirm you're allowed to bind that business to them.
By creating an account, or by using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the Service.
You must be at least 18 years old, and able to enter a binding contract, to use TallyPip.
2. Your account and your team

Keep your login safe. You're responsible for what happens in your account and for the people you invite.
You'll need an account to use TallyPip. Give us accurate information and keep it up to date. Keep your password to yourself. If you sign in with Google or Apple, keeping that account secure matters too.
One login can belong to several businesses. For each business, the person who created it is its owner. The owner can invite other people (such as staff, admins or an accountant) and choose what each person can do. Owners and admins are responsible for who they invite and for what those people do in the business.
You're responsible for everything that happens in your account. If you think someone has got into your account, email us at support@tallypip.com straight away.
3. Free trial, billing and cancelling

60 days free, no card needed. After that it's $9.99 a month or $99.90 a year per business. Plans renew automatically until you cancel. If you cancel, you keep access until the end of the period you've paid for.
Free trial. Your first business gets a free trial of 60 days with everything in the TallyPip plan. You don't need a card to start. We'll remind you to add a payment method about 15 days before the trial ends. Any other business you add has no free trial: it starts once you choose its plan, and its first payment is taken then.
If the trial ends without a subscription, features that act on your behalf pause. These include sending invoices, bank syncing and automatic sorting. You can still sign in, view your records and export your data. Subscribe at any time to turn everything back on.
Price. The TallyPip plan costs $9.99 per month, or $99.90 per year (about 16% less than paying monthly), for each business. Prices are in US dollars unless we show otherwise. Prices don't include taxes, which we'll add where the law requires.
Optional add-ons. Some extra features are offered separately as add-ons. Each shows its price in the app before you add it, is its own subscription that renews and can be cancelled on its own, and follows the renewal, payment and cancellation terms in this section. An add-on may come with a limited free allowance during the trial, or be included with another service, as shown in the app.
Automatic renewal. Subscriptions renew automatically at the end of each month or year. We charge the payment method on file until you cancel. You authorize us, and our payment processor, to make these charges. Before you subscribe, we show you the price, how often it renews and how to cancel, and ask you to agree. After you subscribe, we email you a confirmation with the same terms to keep.
Cancelling. You can cancel any time in the app (Settings › Billing), or by emailing billing@tallypip.com. Cancelling stops the next renewal. You keep full access until the end of the period you've already paid for. We don't give refunds or credits for partial months or years, except where the law requires it.
Failed payments. If a payment fails, we'll let you know and try again. If it still hasn't gone through after a reasonable time, we may pause paid features, as we do when a trial ends.
Price changes. If we change the price, we'll tell you at least 30 days before it applies. Any change starts from your next renewal after that notice. If you don't want the new price, you can cancel before it applies.
4. Your data
In plain words
Your books belong to you. We use them only to run TallyPip for you. We never sell them. You can export them at any time.
You own your data. This includes the transactions, invoices, customers, receipts, files and other information you or your team put into TallyPip, or that you connect to it ("Your Data"). You own it, and these Terms don't change that.
The permission you give us. You let us store, process and display Your Data only as needed to provide, secure, support and improve the Service for you. That includes sharing it with the service providers named in our Privacy Policy, who work on our behalf. We don't sell Your Data, and we don't use it for advertising.
Each business is kept separate. Each business's data is kept apart from every other customer's data. Only the people you allow into that business can see it.
Your responsibility. You confirm that you have the right to put Your Data into TallyPip. That includes any personal information about your customers, vendors and staff. You're responsible for its accuracy, and for following the laws that apply to it.
Export. You can export your records at any time, including during a trial that has ended and for 30 days after you close your account.
5. Not financial, tax or legal advice

TallyPip is a tool that helps you keep books. It doesn't give professional tax, legal or financial advice, and you remain responsible for your filings.
TallyPip gives you software to record, organize and report on your business finances. It does not provide accounting, tax, legal, investment or other professional advice. Nothing in the Service, including reports, suggestions and help articles, is a substitute for advice from a qualified professional who knows your situation.
You are responsible for your books, your tax returns and other filings, and your business decisions. This is true even when they are based on information from TallyPip. We recommend you have a qualified accountant or tax preparer review your records before you file.
6. Automatic sorting and suggestions

TallyPip can sort transactions and read receipts for you. It's usually right, but not always, so check its work. It only ever looks at your own business's data.
Some features use automated tools, including artificial intelligence, to do bookkeeping work for you. For example, they can suggest categories for transactions, read receipts, draft reminders or answer questions about your books. These suggestions can be wrong or incomplete. Review them before relying on them.
These tools work only with the data of the business you're signed into. They never use another customer's data to answer you, and never share your data with other customers. Where a tool would change your books, it either asks you first or shows you what it did so you can undo it. Our Privacy Policy explains how these tools handle your data.
7. Bank connections and other services

If you connect your bank or another service, that connection also runs under that provider's terms. We aren't responsible for their outages or mistakes.
You can connect TallyPip to your bank and to other services. Bank connections are provided by Plaid Inc. ("Plaid"). When you connect an account through Plaid, you agree to Plaid's terms. You also let Plaid collect data from your financial institution and pass it to us, as described in the Plaid End User Privacy Policy.
We don't control banks or other third-party services. We aren't responsible if they are unavailable, delayed or wrong, or if they change or end their connection with us. Always compare important figures with your bank's own records. You can disconnect an account at any time.
We use a third-party payment processor to handle subscription payments. We don't store your full card number.
8. TallyPip Experts

Experts help costs extra and is only for subscribed businesses. The accounting professionals who do the work may ask you to agree to their own terms.
TallyPip Experts is optional paid help with your books. Bookkeeping support costs $99 per month and accounting coaching is a one-time $149 session. It is only available to businesses with an active paid subscription. The owner or an admin can request it from inside the app.
Independent accounting professionals we work with provide Experts services, and they may ask you to agree to a separate engagement letter. That letter sets out the scope of the work, and it applies to their services in addition to these Terms. By requesting Experts help, you let us share the relevant parts of your business's data with the professional helping you, but only for that work.
Unless your engagement letter says otherwise, Experts services don't include preparing or filing tax returns, audits, or legal advice.
9. Acceptable use

Use TallyPip for real, lawful business bookkeeping. Don't misuse it, attack it or use it to harm others.
You agree not to:
- use the Service for anything illegal, fraudulent or deceptive, including money laundering or hiding income;
- send invoices or messages that are spam, harassing or misleading, or that pretend to come from someone else;
- upload viruses or harmful code, or content you don't have the right to share;
- try to get into another customer's data, accounts or systems, or into parts of the Service you haven't been given access to;
- probe, scan or test the Service's security, or overload it, without our written permission;
- copy, resell, rent or reverse engineer the Service, or use it to build a competing product;
- scrape the Service or access it with automated tools, except through features we provide for that;
- try to trick our automated tools into breaking these rules.
If you break these rules, we may suspend or close the account involved. Where the law allows, we may also report illegal activity to the authorities.
10. Security

We work hard to protect your data, and we'll tell you if a breach affects you. Please use a strong password and tell us about any problem you spot.
We use reasonable technical and organizational measures to protect Your Data. They include encryption in transit, separating each business's data at the database level, and limiting which staff can access customer data. Our Privacy Policy describes these measures in more detail. No system is perfectly secure, and we can't promise that Your Data will never be accessed without permission.
If we learn of a security breach that affects Your Data, we'll tell you without unreasonable delay, as the law requires. If you find a security problem, please report it to support@tallypip.com.
11. Our software and brand

TallyPip's software, name and chick logo belong to us. You may use the Service, but not copy it.
The Service, including its software, design, text, graphics, the TallyPip name and the chick logo, belongs to us or our licensors, and is protected by intellectual property law. While your account is in good standing, we give you a limited, non-exclusive, non-transferable right to use the Service for your business under these Terms. We keep all other rights.
If you send us feedback or ideas, we may use them without owing you anything. We'll never identify you publicly without asking you first.
If you believe something in the Service infringes your copyright, email support@tallypip.com with the details. We will respond as the law requires.
12. Changes to TallyPip and to these terms

We'll keep improving TallyPip. If we make an important change to these terms, we'll tell you at least 30 days before it applies.
We regularly add, change and sometimes remove features. We won't remove a core part of the Service that you're paying for without reasonable notice.
We may update these Terms from time to time. If a change is material, we'll give you at least 30 days' notice by email or in the app before it applies. Smaller changes, such as clearer wording, apply when we post them. If you keep using the Service after a change applies, you accept the updated Terms. If you don't accept them, you can cancel and export your data.
13. Ending this agreement

You can leave at any time and take your data with you. We can close accounts that break these terms, and we'll give notice when we reasonably can.
You can cancel your subscription at any time from the app. To close a business and have its data deleted, its owner can use Settings › Close business, or email support@tallypip.com from the address on the account. You then have 30 days to download your data or change your mind before it is deleted.
We may suspend or close an account if its holder seriously or repeatedly breaks these Terms, doesn't pay, or uses the Service in a way that puts other customers or us at risk, or if the law requires it. Where reasonable, we'll warn you first and give you a chance to fix the problem. If we stop offering the Service altogether, we'll give you at least 60 days' notice. We'll also refund any prepaid amount for the period after it ends.
Afterwards, you'll have 30 days to export your data, unless we closed the account for illegal activity. After that we delete Your Data as described in our Privacy Policy, apart from records we must keep by law. Sections that should reasonably continue will survive the end of this agreement, such as the sections on payment, disclaimers, limits on liability and disputes.
14. Disclaimers

We do our best, but TallyPip is provided as it is. We can't promise it will be perfect or never go down.
We aim to keep TallyPip reliable and accurate. However, to the fullest extent the law allows, the Service is provided "as is" and "as available". We don't make any warranties, whether express or implied. That includes warranties of merchantability, fitness for a particular purpose, non-infringement, and that the Service will be uninterrupted, error-free or completely secure.
Some places don't allow these exclusions. In those places, some of them may not apply to you.
15. Limits on liability

If something goes wrong, our liability is capped at what you paid us in the past 12 months, or $100 if that's more.
To the fullest extent the law allows, neither TallyPip nor its owners, staff or suppliers will be liable for any of the following: indirect, incidental, special, consequential or punitive damages, or lost profits, revenue, data or goodwill. This applies even if we were told they were possible.
To the fullest extent the law allows, our total liability for all claims relating to the Service or these Terms is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the event that led to the claim, or (b) US$100.
These limits don't apply to liability that can't be limited by law, such as liability for fraud or gross negligence.
16. Your responsibility for claims

If someone makes a claim against us because of how you used TallyPip or broke these terms, you'll cover it.
You agree to defend and indemnify TallyPip and its owners and staff against claims, losses and reasonable costs, including reasonable legal fees, that come from any of the following: your use of the Service in breach of these Terms or the law, Your Data, or a dispute between you and your customers, vendors or staff.
17. Resolving disputes

If you're unhappy, tell us first and we'll try to sort it out. If we can't, the laws and courts of our home state apply.
If you have a concern, please email support@tallypip.com first. We'll try in good faith to resolve it within 30 days. Most problems can be solved this way.
These Terms are governed by the laws of the State of New York and applicable US federal law, without regard to conflict-of-law rules. Any dispute that we can't resolve informally will be heard only in the state or federal courts located in New York, and both of us agree to those courts' jurisdiction. Either of us may still bring a claim in small claims court if it qualifies.
If you are a consumer, or your business is based outside the US, you may have extra rights under your local law. These Terms don't take away rights that the law says can't be waived.
18. Emails and electronic notices

We'll send account and billing messages by email or in the app. You can turn off marketing emails, but not the important ones.
You agree that we can send you notices, receipts, reminders and other messages electronically, by email to the address on your account or in the app. Electronic notices have the same effect as paper ones. Keep your email address current so you don't miss them.
You can unsubscribe from marketing emails at any time. You'll still receive messages we need to send about your account, security and billing. Invoices and reminders sent to your customers through TallyPip are sent on your behalf, and you're responsible for their content.
19. General terms

The usual legal fine print about how this agreement works.
- Entire agreement. These Terms, the Privacy Policy, and any other terms you agree to for a specific service (such as an Experts engagement letter) make up the whole agreement between us.
- Assignment. You can't transfer this agreement without our consent. We may transfer it as part of a merger, acquisition or sale of assets. If we do, we'll tell you, and your data will stay protected under the same terms.
- Severability. If a court finds part of these Terms unenforceable, that part will apply as far as the law allows, and the rest will still apply.
- No waiver. If we don't enforce part of these Terms straight away, we can still enforce it later.
- Force majeure. Neither of us is responsible for delays or failures caused by events beyond reasonable control. Examples include outages at internet or cloud providers, natural disasters and government action. This doesn't apply to payment obligations.
- Relationship. We are independent contractors. Nothing here creates a partnership, employment or agency relationship.
- Language. These Terms are written in English. If we provide a translation and it differs, the English version applies.
